Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SEOMind website, applications, tools, APIs, integrations, content, and related services (collectively, the "Service"). The Service is operated by SEOMind ("SEOMind," "we," "us," or "our").

By creating an account, clicking an acceptance button, purchasing a subscription, or accessing or using the Service, you agree to these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Service on behalf of a company, agency, or other organization, you represent that you have authority to bind that organization. In that case, "you" and "your" include both you and that organization.

If you do not agree to these Terms, do not access or use the Service. If a written order form, enterprise agreement, or other agreement signed by both you and SEOMind applies to your use of a particular Service, that agreement controls over these Terms to the extent of a conflict.

1. Definitions

For purposes of these Terms:

  • Account means the account you create to access the Service, including any workspace, organization, or team account connected to it.
  • Authorized User means an individual who is permitted by you or your organization to use the Service through your Account.
  • Content means text, graphics, images, audio, video, software, data, information, and other material made available through the Service.
  • Customer Content means information, data, prompts, instructions, files, websites, drafts, brand materials, and other material you or your Authorized Users submit to the Service.
  • Generated Content means text, outlines, articles, metadata, recommendations, images, summaries, analyses, SEO data, or other output generated by the Service in response to your inputs or configuration.
  • Integration means a connection between the Service and a third-party website, content management system, analytics platform, payment provider, search service, API, webhook, or other service.
  • Subscription means a paid plan or recurring access arrangement for the Service.
  • Usage Limits means limits associated with a plan, feature, account, credits, requests, storage, domains, or other Service capacity disclosed at signup, checkout, in the application, or in applicable documentation.

2. Eligibility and Authority

You must be at least 18 years old, or the age of legal majority in your place of residence, to create an Account or enter into these Terms. You may not use the Service if we have previously suspended or terminated your Account for a violation of these Terms, unless we have expressly authorized you to return.

You represent that the information you provide to us is accurate, complete, and current; that you have authority to accept these Terms; and that your use of the Service will comply with all applicable laws, regulations, contracts, industry rules, and third-party terms. If you use SEOMind to manage a website, domain, brand, or client account, you represent that you own or are authorized to manage that property and to submit its information to the Service.

3. Accounts and Account Security

Some features require an Account. You agree to provide truthful registration information and to keep it updated. You are responsible for maintaining the confidentiality of your password, authentication factors, API keys, tokens, and other Account credentials. You are also responsible for activity that occurs under your Account, including actions taken by Authorized Users, except to the extent caused by SEOMind's failure to meet its obligations under applicable law.

Notify us promptly at [email protected] if you believe your Account or credentials have been compromised, used without permission, or exposed. We may require you to reset credentials, verify ownership, or provide other information before restoring access. Do not share your credentials with people who are not Authorized Users, and do not permit an Account to be used by more people than the applicable plan allows.

If your Account is managed by an organization, the organization's administrator may be able to access, control, transfer, suspend, or delete the workspace, including content and activity associated with Authorized Users. You are responsible for informing your team members about the relevant permissions and for removing access when an individual is no longer authorized.

4. The SEOMind Service

SEOMind provides tools intended to help users research search intent, analyze websites, plan and produce content, optimize pages, manage campaigns, collaborate with teams, and publish through connected services. Features vary by plan and may change over time.

We may add, remove, modify, pause, or discontinue features, integrations, Usage Limits, or parts of the Service. We will use reasonable efforts to provide notice of material changes where practical, but we do not guarantee that every feature will remain available or that a feature will operate in exactly the same way at all times.

The Service may include experimental, beta, preview, or early-access functionality. Such functionality may be incomplete, may contain errors, may be changed or withdrawn without notice, and may be subject to additional terms. You use beta functionality at your own discretion and risk.

5. Acceptable Use

You may use the Service only for lawful, authorized, and legitimate purposes. You agree not to, and not to help another person or system to:

  1. Violate any applicable law, regulation, court order, contractual obligation, or third-party right;
  2. Infringe, misappropriate, dilute, or violate copyrights, trademarks, patents, trade secrets, privacy, publicity, or other rights;
  3. Submit, generate, publish, or distribute content that is unlawful, fraudulent, deceptive, defamatory, harassing, hateful, threatening, sexually exploitative, or otherwise harmful;
  4. Use the Service to create spam, malware, phishing pages, deceptive websites, impersonation content, fake reviews, or content intended to mislead people;
  5. Use automated generation, publishing, link building, or other workflows in a way that violates search engine policies, advertising rules, platform policies, or the requirements of a connected service;
  6. Upload passwords, payment card numbers, API secrets, government identification numbers, or other sensitive information unless the feature specifically requires it and you are authorized to provide it;
  7. Attempt to gain unauthorized access to another Account, system, network, model, API, or data source;
  8. Probe, scan, test, reverse engineer, decompile, disassemble, or attempt to discover the source code, underlying models, non-public APIs, or security mechanisms of the Service, except where such restriction is prohibited by law;
  9. Copy, scrape, crawl, frame, mirror, republish, resell, rent, lease, or systematically extract the Service or its Content without our written permission;
  10. Use bots, scripts, agents, or other automated means to access the Service except through an API or automation method we expressly make available and document;
  11. Circumvent rate limits, Usage Limits, authentication, billing controls, safety controls, or access restrictions;
  12. Use the Service to develop, train, benchmark, or improve a competing product or service, except with our prior written permission;
  13. Interfere with the availability, integrity, performance, or security of the Service or impose an unreasonable load on our systems;
  14. Remove, alter, or obscure proprietary notices, attribution, or technical safeguards; or
  15. Use the Service in a manner that could damage SEOMind, our users, our providers, or the reputation of the Service.

We may investigate suspected violations and may remove content, restrict features, suspend access, or terminate an Account when we reasonably believe it is necessary to protect users, the Service, or third parties.

6. Customer Content

You retain ownership of Customer Content, subject to the rights you grant in these Terms and to any rights of third parties. You are solely responsible for Customer Content, including its accuracy, legality, quality, reliability, originality, and suitability for your intended use.

By submitting Customer Content to the Service, you grant SEOMind and our service providers a worldwide, non-exclusive, limited, royalty-free license to host, store, copy, transmit, process, format, display, adapt, and otherwise use that Customer Content as necessary to provide, secure, maintain, support, and improve the Service; to prevent abuse; to comply with law; and to perform actions you request, such as generating content, analyzing a URL, or publishing to an Integration. This license continues for as long as reasonably necessary for those purposes, including limited backup, security, legal, and operational retention after deletion or account closure.

You represent and warrant that you own Customer Content or have all permissions, licenses, consents, and authorizations required to submit it and grant the rights described in these Terms. You must not submit content that contains another person's personal information, confidential information, trade secrets, or intellectual property unless you are authorized to do so and have complied with applicable privacy and data protection law.

You may delete or export Customer Content through available features or by contacting us, subject to technical limitations, Usage Limits, retention requirements, and any content already sent to or published through a third-party Integration. We do not guarantee that deletion from SEOMind will remove copies held by a connected service, public website, search engine, backup, or other third party.

7. Artificial Intelligence and Generated Content

The Service uses artificial intelligence, machine learning, automation, search, and third-party technology to produce Generated Content and recommendations. Generated Content is generated from inputs, configurations, data sources, and model behavior. It may be incomplete, inaccurate, outdated, biased, repetitive, infringing, or unsuitable for your audience or purpose.

You are responsible for reviewing, editing, fact-checking, and approving Generated Content before you publish, distribute, advertise, or rely on it. You are responsible for confirming that Generated Content complies with your brand standards, industry requirements, legal obligations, advertising disclosures, search engine rules, and the terms of any publishing destination. Do not treat Generated Content as professional legal, medical, financial, tax, or other regulated advice.

SEOMind does not guarantee that Generated Content is original, that it will not resemble content generated for another user, that it will be indexed by a search engine, or that it will improve rankings, traffic, domain authority, conversions, revenue, or any other business result. Search engines, social platforms, content management systems, and other third parties control their own algorithms, policies, review processes, and availability.

You must not use the Service to create or publish content that you know is false, deceptive, unlawful, or likely to cause harm. You should not submit highly sensitive personal information or confidential material to an AI workflow unless the Service and your agreement with SEOMind expressly support that use.

8. Ownership of Generated Content

As between you and SEOMind, and subject to your compliance with these Terms, you may use Generated Content produced for your Account for your lawful business or personal purposes. To the extent applicable law recognizes intellectual property rights in Generated Content, we assign to you any rights we may have in that Generated Content after you have paid amounts due for the applicable Service. This assignment does not include the underlying Service, models, algorithms, templates, prompts, tools, third-party materials, or content belonging to another person.

Because Generated Content may be produced by automated systems, may rely on your Customer Content, and may not be legally protectable in every jurisdiction, we do not guarantee that you will receive exclusive rights or copyright protection. You are responsible for obtaining permissions for third-party materials and for deciding whether Generated Content is suitable for publication.

We may use feedback, suggestions, bug reports, feature requests, and non-identifying product observations you provide to improve the Service without restriction or compensation. We may create aggregated or de-identified analytics and operational data that cannot reasonably identify you, and we may use that information for legitimate business purposes.

9. Websites, Domains, Publishing, and Integrations

You represent that you own or are authorized to manage every domain, website, account, and publishing destination connected to your Account. Adding a domain or connecting an Integration does not transfer ownership of that property to you or to SEOMind.

When you authorize an Integration, you instruct us to exchange information and perform actions within the scope of that authorization. Depending on the Integration, this may include reading website content, creating drafts, updating pages, publishing articles, uploading images, changing metadata, or retrieving analytics. You are responsible for reviewing permissions and for confirming that an Integration is configured correctly before enabling automated actions.

Third-party services may change their APIs, policies, permissions, pricing, rate limits, security requirements, or availability. SEOMind does not control those changes and does not guarantee that an Integration will remain available, uninterrupted, secure, or error-free. You are responsible for maintaining your third-party account, complying with its terms, and reviewing content or changes made by an automated workflow.

Publishing is performed at your direction or under the automation settings you configure. You are responsible for reviewing destinations, schedules, approvals, links, images, metadata, disclosures, and Generated Content before publication. If a workflow publishes content incorrectly, you should promptly disable the workflow and contact support at [email protected].

10. Plans, Subscriptions, Credits, and Usage Limits

The Service may include free features, trials, subscriptions, usage-based charges, credits, or other plan structures. The applicable price, billing cycle, Usage Limits, included features, and renewal terms will be shown at checkout, in the application, or in a written order form.

If you purchase a Subscription, you authorize SEOMind or its payment provider to charge the payment method you provide for the selected plan and any applicable taxes. Unless otherwise stated, a Subscription renews automatically at the end of each billing cycle until you cancel it. You may cancel renewal through the account controls that we provide or by contacting [email protected]. Cancellation normally takes effect at the end of the current paid period, and you may continue to use paid features until then unless your access is suspended or terminated under these Terms.

Credits, generation capacity, requests, or other Usage Limits are intended for the Account and plan for which they were provided. They may be non-transferable, may expire as described at purchase, and may not be redeemed for cash unless required by law. A credit consumed by a completed generation or requested operation may not be refundable merely because you later choose not to use the output.

We may offer a free trial or promotional plan with separate limits, eligibility requirements, or expiration terms. Unless we state otherwise, a trial may end automatically, and access may move to a paid plan only if you affirmatively select or authorize that plan. We may limit one trial or promotion per person, organization, payment method, or domain and may withdraw a promotion if it is used fraudulently or in violation of its terms.

11. Fees, Taxes, Refunds, and Disputes

Prices may change. We will provide reasonable notice of material changes to recurring fees where required or practical. A price change normally applies at the next renewal after the effective date. If you do not accept the new price, cancel before renewal.

You are responsible for applicable taxes, duties, levies, and similar charges, excluding taxes based on SEOMind's net income. If a payment fails, we may retry the transaction, limit access to paid features, or suspend the Account until the balance is resolved. You agree not to initiate a chargeback for a valid charge without first contacting us so we can investigate and attempt to resolve the issue.

Refunds, credits, and cancellations are governed by the offer or billing terms shown at purchase. Unless a separate written commitment says otherwise, payments are non-refundable once the applicable billing period or usage has begun, except where required by law or approved by us in our discretion. To request billing assistance, contact [email protected] with the Account email, transaction date, and a description of the issue. Do not send complete payment card numbers.

12. Intellectual Property of SEOMind

The Service, including its software, interface, workflows, documentation, design, logos, trademarks, names, databases, prompts, templates, models, algorithms, and other original materials, is owned by SEOMind or its licensors and is protected by intellectual property and other laws. Except for the limited access rights expressly granted in these Terms, SEOMind and its licensors retain all rights, title, and interest in the Service.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business or personal purposes. You may not sublicense, resell, distribute, copy, modify, or create derivative works from the Service unless we give you written permission or the applicable law expressly permits it.

SEOMind, the SEOMind name, logos, and related marks are our trademarks or trade dress. You may not use them in a way that suggests endorsement, partnership, or affiliation without our prior written permission. You retain rights to your own trademarks and brand materials.

13. Third-Party Services and Content

The Service may contain links to or rely on third-party websites, data sources, AI models, APIs, payment processors, hosting providers, analytics services, content management systems, and other services. Third-party services are not controlled by SEOMind, and their availability, accuracy, security, content, policies, and performance are their responsibility.

Your use of a third-party service is governed by that provider's terms and privacy policy. You are responsible for obtaining any required permissions and complying with those terms. SEOMind is not responsible for third-party changes, outages, losses, delays, content, fees, security incidents, or actions taken by an Integration outside our reasonable control.

14. Feedback and Support

You may send us ideas, suggestions, improvement requests, evaluations, or other feedback. You grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback into the Service without attribution or compensation, provided we do not disclose your confidential information in doing so.

We may provide support through email, chat, documentation, or other channels. Support availability, response times, and scope may vary by plan. Unless a written service-level agreement applies, support is provided on a reasonable-efforts basis and we do not guarantee a particular response time or resolution.

15. Confidentiality

Each party may receive non-public information from the other that is identified as confidential or should reasonably be understood to be confidential given its nature and the circumstances of disclosure ("Confidential Information"). The receiving party will use reasonable care to protect Confidential Information and will use it only to perform or exercise rights under these Terms.

Confidential Information does not include information that is publicly available without breach, already known without a duty of confidentiality, independently developed without use of the other party's Confidential Information, or lawfully received from a third party without restriction. A receiving party may disclose Confidential Information when required by law, provided it gives notice where legally permitted and reasonably cooperates with efforts to limit disclosure.

Customer Content may be confidential. Our processing of personal information is described in the Privacy Policy and any applicable written data-processing agreement.

16. Suspension and Termination

You may stop using the Service and cancel your Account at any time. We may suspend or terminate your access, Subscription, or Account if you violate these Terms, fail to pay, create a security or legal risk, misuse the Service, or if we discontinue the relevant Service. We may also suspend access temporarily to investigate an incident, perform maintenance, or protect users and systems.

Where reasonable and lawful, we will try to provide notice and an opportunity to resolve the issue before termination. We are not required to provide advance notice when immediate action is needed to prevent harm, comply with law, protect security, or address serious or repeated violations.

When an Account or Subscription ends, your right to access paid features and the license granted under these Terms ends. You remain responsible for unpaid fees and obligations that arose before termination. Provisions concerning ownership, Customer Content, confidentiality, payment, disclaimers, liability, indemnification, dispute resolution, and other provisions intended by their nature to survive will survive termination.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SEOMIND DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

Without limiting the foregoing, we do not warrant that the Service or any Generated Content will be uninterrupted, timely, secure, accurate, complete, reliable, error-free, free from harmful code, compatible with every device or service, or available at every location. We do not warrant that the Service will meet your requirements, produce a particular SEO result, improve rankings or traffic, increase revenue, avoid penalties, comply with every search engine guideline, or remain unchanged.

You are responsible for deciding whether to publish, distribute, advertise, or rely on any Generated Content or recommendation. You are also responsible for backups, reviews, approvals, permissions, and compliance with laws and third-party rules.

Some jurisdictions do not allow certain warranty exclusions, so some of the exclusions above may not apply to you. In that case, warranties are limited to the minimum scope required by applicable law.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEOMIND AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, DATA, CONTENT, REPUTATION, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEOMIND'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SEOMIND FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limitations apply regardless of the legal theory, whether contract, tort, negligence, strict liability, statute, or otherwise, and even if a remedy fails of its essential purpose. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited, including liability for fraud or intentional misconduct where such exclusion is prohibited.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SEOMind and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, demands, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  1. Your Customer Content or Generated Content that you publish, distribute, or provide to another person;
  2. Your use of the Service or an Integration;
  3. Your violation of these Terms, applicable law, or a third-party right;
  4. Your failure to obtain authority, consent, or permission to manage a domain, account, website, or data; or
  5. Your relationship with an agency client, customer, employee, partner, or other third party.

We may assume exclusive control of the defense of a claim subject to indemnification, and you agree to reasonably cooperate. You may not settle a claim in a way that admits fault, imposes an obligation, or affects our rights without our prior written consent.

20. Dispute Resolution and Governing Law

Before filing a formal claim, you agree to contact us at [email protected] and describe the dispute. The parties will make a good-faith effort to resolve the dispute informally for at least thirty days, unless urgent relief is required or applicable law provides otherwise.

These Terms and disputes arising out of or relating to the Service will be governed by the laws applicable in the jurisdiction of SEOMind's principal place of business, without regard to conflict-of-law rules, unless mandatory law in your location requires a different rule. Any court proceeding not subject to arbitration or another mandatory forum will be brought in a court with appropriate jurisdiction.

If applicable law permits arbitration, the parties may agree in writing to resolve an individual dispute through confidential binding arbitration in English before a single arbitrator under the rules of a recognized arbitration provider. No arbitration provision in these Terms prevents you from bringing a claim in a small-claims court where eligible or from seeking urgent injunctive relief for misuse of intellectual property, confidential information, or security systems. Nothing in this section removes rights that cannot be waived under the law that applies to you.

21. Changes to These Terms

We may revise these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. If we make a material change, we may provide additional notice through the Service, by email, or by another reasonable method where required.

Unless we state otherwise, revised Terms take effect when posted. Your continued use of the Service after the effective date means you accept the revised Terms. If you do not agree to a change, stop using the Service and cancel your Account or Subscription before the change takes effect, subject to any applicable refund rights.

22. General Terms

These Terms, together with the Privacy Policy and any applicable written order form or additional feature terms, are the entire agreement between you and SEOMind concerning the Service. They supersede prior or contemporaneous discussions about the same subject.

You may not assign or transfer these Terms or your Account without our prior written consent, except as part of a permitted corporate reorganization or sale of substantially all of your assets. We may assign these Terms to an affiliate, successor, or purchaser in connection with a business transaction.

If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver of our right to enforce it later. Headings are for convenience and do not affect interpretation.

Neither party is liable for delay or failure caused by circumstances beyond reasonable control, including internet or telecommunications failures, natural disasters, war, terrorism, labor disputes, government action, epidemics, provider outages, cyberattacks, or failures of third-party services, except for payment obligations already due.
